Unfortunately, allegations are growing that HJ Sims allegedly unsuitably, and perhaps even fraudulently, marketed and sold $2B worth of these Regulation D bonds to customers, including retirees and retail investors. Many of these private placements reportedly have lost significant—if not their total—value. There are also allegations that the broker-dealer inflated these investments’ prices on account statements, and some HJ Sims executives may have made money when the bonds were both issued and sold.

According to SLCG Economic Consulting in a November 2022 blog post, “HJ Sims Reg D offerings provide a great example of potential Reg D mischief.” The article goes on to mark all of these private placements as either “Delinquent Redeemed,” “Delinquent Default,” “Dissolved Redeemed,” “Active Default,” or “Delinquent Held.”

Regulation D private placements are high-risk investments and very illiquid. Once an investor buys them they usually cannot resell them unless they can find their own “exemption.” These alternative investments don’t have the same protections and oversight that come with SEC-registered investments. They are generally unsuitable for retail investors and conservative retirees and should only be sold to sophisticated, accredited investors.
