Registration Violations

Both federal and states' laws are strict on who must be registered to sell securities. Securities offered or sold to the public must be registered under state laws and/or with the Securities and Exchange Comission unless the securities are covered by an available registration exemption.

Experienced Counsel in Broker Registration Violation

All firms that sell registered securities to the public must themselves be registered with the state and or through the Financial Industry Regulatory Authority (FINRA), formerly the FINRA. Any employee or agent of these firms who offers or sells securities, or is involved in the sales process, must also be registered by FINRA and/or the state in which the securities are being sold. (There are some minimum activity exceptions to these general rules.)

Likewise, there are increasing regulations which require that those paid a fee to advise investors to be registered under state laws and/or through the SEC. There are also licensing requirements for those who sell of insurance, annuities and other investment products.

If you have been sold any investment including stock, bonds, options or mutual funds, were sold insurance or annuities or have been enticed to become involved in any other plan to earn a profit for you, it is likely the person and/or firm who sold this to you should be licensed. If you have received investment advice for a fee, is is also likely that the person and/or company involved should be licensed or they could potentially face broker registration violations.

Unregistered Broker Dealer Penalties

Under federal and most states’ laws, if a person or company should have been licensed in investments, but was not, you could be entitled to receive a refund of the funds you invested, plus interest and perhaps even the costs of recovering your funds, including legal fees due to registration violations. If you did not occur losses you obviously would not want a refund, but that choice is yours.

Client Reviews
"I am going to miss conversations with you, Sam Edwards. You’ve been a wonderful lawyer and a friend. I loved learning legal jargon from you. But, even more, it is your self-respect and commitment to your position that I admire and your persistent patience-your equanimity. With great appreciation, thank you!" M.B.
"My experience with Ryan Cook has been very positive. Through every step of the litigation he explained what to expect to happen. When I spoke with him later he reviewed the process. He was very patient, and I never felt rushed. I have already told friends how wonderful he is." L.R.
"I want you to know that I very much appreciate your expertise, hard work, and guidance that led to a satisfactory resolution with Raymond James. From our first meeting, I felt "heard" and that my situation and story were respected. Every subsequent interaction I had with any of you - in person, via email, or by phone - only corroborated that feeling. What great work you do on behalf of people like me who have been wronged, yet don't know how to navigate the appeals/mediation/arbitration process as you do. I will be forever grateful." M.L.
"Good positive experience. Guided us through a difficult process and was pleased with the outcome. Everyone I dealt with was exceptional." A.G.
"Good intelligent attorneys who never miss a beat. I set my expectations high, and they delivered above and beyond. Do not miss the opportunity to let SSEK represent you. Top-notch, efficient and effective firm." S.M.
